Terms of Service

Welcome to Njuru. These Terms of Service ("Terms") govern your access to and use of the Njuru marketplace, websites, mobile apps, and any related services (together, the "Services") operated by Njuru, Inc. ("Njuru", "we", "us").

By creating an account or using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Who can use Njuru

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By signing up you confirm that the information you provide is accurate and you are legally able to enter into binding contracts.

2. Your account

You are responsible for the security of your account credentials, for activity that happens under your account, and for keeping your contact information current. You may enable additional protection (passkeys, two-factor codes) at any time at /account/security. Notify us at security@njuru.com if you suspect unauthorized access.

3. Marketplace role

Njuru is a venue that connects buyers and sellers. We are not the seller of items listed on the marketplace unless explicitly stated. Contracts of sale are between the buyer and the seller. We facilitate the transaction, handle payments via Stripe, and provide trust tooling (verification, reviews, dispute resolution) but we are not party to the underlying contract.

4. Verification and trust

We may verify identity, business registration, professional licenses, background, insurance, or bond for sellers and certain buyers. Verification is conducted by third parties including Stripe Identity, Checkr, and others. By initiating a check you authorize that vendor to verify the information you provide. We display verified badges and a public trust score on storefronts so buyers can make informed decisions.

5. Fees and payouts

Sellers pay a monthly subscription (Maker $25, Studio $59, House $150, Concierge custom) and a flat 2% Processing and Trust fee, the same across every plan, charged only when a buyer pays through Njuru checkout. Buyers do not pay a marketplace fee. Stripe processes payments and routes seller earnings to their Connect Express account on a next-business-day schedule (subject to Stripe's reserves and risk holds).

6. Refunds and disputes

Sellers set their own refund policy within the boundaries of these Terms. We provide a self-service return tool, a structured dispute process, and a buyer-protection backstop for verified-purchase orders. Card chargebacks are handled per Stripe's processes.

7. Acceptable use

You agree to use the Services only for lawful purposes and not to:

Post content that is unlawful, infringing, deceptive, hateful, threatening, or sexually exploitative

Sell prohibited items including firearms, illegal drugs, hazardous materials, counterfeit goods, stolen property, or anything restricted by applicable law

Use automated systems to scrape, harvest, or impersonate users

Bypass our verification, fraud, or trust systems

Use the Services to compete with Njuru

Violations may result in suspension, badge removal, payout holds, or account termination.

8. Intellectual property

You retain ownership of content you upload. You grant Njuru a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and distribute that content for the purpose of operating the Services and promoting your storefront. You agree not to upload content you do not have the right to publish.

The Njuru brand, name, marks, and original content are owned by Njuru, Inc. and may not be used without our written permission.

9. Heirloom Mode and royalties

Sellers who enable Heirloom Mode authorize Njuru to record the provenance card and to direct a configurable percentage of any resale conducted through the Services to the original maker. Royalty payments are made via Stripe Connect transfers and are subject to standard Stripe payout terms.

10. Termination

You may close your account at any time at /account/security. We may suspend or terminate accounts for violations of these Terms, with or without prior notice, particularly where required for safety, legal, or fraud reasons. Surviving sections (intellectual property, indemnity, limits of liability, dispute resolution) remain in force.

11. Disclaimers

The Services are provided on an "as-is" and "as-available" basis. Njuru disclaims all warranties to the extent permitted by law. We do not guarantee the accuracy of listings, the conduct of users, or any specific outcome from your use of the marketplace.

12. Limitation of liability

To the maximum extent permitted by law, Njuru's total liability arising from your use of the Services is limited to the greater of (a) fees you paid us in the 12 months before the claim, or (b) $100. We are not liable for indirect, incidental, consequential, or punitive damages.

13. Indemnity

You agree to indemnify and hold harmless Njuru, its directors, employees, and agents from any claim, loss, or expense (including reasonable attorney fees) arising from your breach of these Terms, your content, or your use of the Services.

14. Dispute resolution

Disputes between you and Njuru will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. You and Njuru waive any right to a jury trial or to participate in a class action. Either party may seek injunctive relief in court for intellectual property or confidentiality matters. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

15. Changes

We may update these Terms. Material changes will be announced by email and on /legal/terms at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

Fees

Njuru's primary revenue is a monthly seller subscription, not a large cut of your sales. Current plan prices are shown on our Pricing page and may change with reasonable notice.

When a buyer pays through Njuru checkout, a flat Processing and Trust fee of two percent (2%) of the order applies to the seller, the same across every plan. This fee funds fraud scoring, buyer protection, and dispute handling. Stripe's own payment processing fee (approximately 2.9% plus $0.30) is separate and passed through transparently. A quarter point (0.25% of the order) is returned to the shopper as Njuru reward points.

Sellers who arrange payment directly with a buyer outside Njuru checkout are not charged the Processing and Trust fee on those transactions. Charitable round-up amounts collected through Njuru Gives carry no Njuru fee; 100% reaches the chosen nonprofit.

We will give reasonable notice before changing fees.
